3. Intellectual Property Rights
a. Ownership
All intellectual property rights, including copyrights, trademarks, and any proprietary information related to the designs, content, and code created for the Client’s website, remain the exclusive property of the Software Service .
b. Client’s Content
The Client shall ensure that any content, text, images, and materials provided to the Software Service for website development do not infringe upon any third-party intellectual property rights.
4. Confidentiality
Both parties agree to maintain strict confidentiality regarding any proprietary or confidential information disclosed during the course of the project. The obligations of confidentiality shall continue beyond the termination of the project.
5. Payment Terms
a. Payment Schedule
The Client agrees to make payments as per the agreed-upon payment schedule. Failure to do so may result in the suspension of services until payment is received.
b. Refund Policy
Refunds are only applicable if services have not been rendered or for valid reasons outlined in our separate Refund Policy.
6. Project Delivery
a. Timeline
The Software Service will provide the Client with a project timeline and will make all reasonable efforts to meet deadlines. However, unforeseen circumstances may lead to delays. The Software Service shall not be held liable for any loss or damages arising from project delays.
b. Client Feedback
The Client is responsible for providing timely feedback during the design process. Delays in providing feedback may affect project timelines.
7. Warranty and Support
a. Website Warranty
The Software Service provides a warranty period for the developed website to ensure proper functioning and adherence to agreed-upon specifications. The warranty period varies and will be communicated to the Client separately.
b. Support and Maintenance
After the warranty period, the Software Service offers support and maintenance services at an additional cost. The scope of support and maintenance will be outlined in a separate agreement.
8. Limitation of Liability
The Software Service shall not be liable for any indirect, incidental, consequential, or special damages arising from the use or inability to use the Website or services.
9. Termination
a. Termination by Client
The Client may terminate the project before completion by providing written notice and paying for the work completed up to that point.
b. Termination by Software Service
The Software Service reserves the right to terminate the project if the Client violates any Terms outlined herein or engages in unethical or unlawful practices.
10. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to conflicts of laws principles.
11. Amendments
The Software Service reserves the right to amend or update these Terms & Conditions at any time. The Client will be notified of any changes and must accept the revised Terms before continuing to use our services.
